Inside Our Cap Table Excel Template
A Cap Table (or Capitalization Table) is a spreadsheet that tracks ownership, dilution and value of equity in each round of investment by founders, investors and employees.
If you operate a startup (an entity that expects to raise money from investors), you probably already know the importance of a cap table.
Fundraising from investors is a difficult task made even tougher if you don’t have an organized and updated cap table.
Given we’re founders ourselves, we wanted to create a Cap Table that would be especially helpful for first time-founders, pre-seed and seed-stage companies.
As with all of our templates, we seek to automate as much as possible so you can simply input your data and see the desired outcome.
This template is colored coded. Fill out the green-highlighted cells with their corresponding values; value, price per share and number of shares issued in the first table and capital invested and common shares in the second table.
Total shares and ownership percentage will automatically calculate.
Below those two tables is a bar graph that will show the ownership distribution between founders and investors.
While there are alternatives (and good ones) to an Excel-based cap table, you can’t beat the price of this one. Carta, one of the leaders in the space, starts at $2,500 a year.
The power of Excel is recreating that software in spreadsheet format. While your company may mature to that level, adding another couple grand to your overhead is dicey.
